Church bylaws guide and adoption checklist

Draft church bylaws from your church's governing documents, define who decides, and follow the adoption checklist with your church's attorney.

Short answer

Church bylaws define how a congregation makes decisions, admits members, appoints leaders and handles its property. Draft them from the church’s confession and existing legal documents, then follow its amendment procedure.

Print the checklist and write the church-specific decisions beside each item.

Start with the documents already in force

Find the signed articles of incorporation, bylaws and every amendment. Ask the clerk to trace the minutes approving changes. A downloaded template cannot tell you which document controls when an old amendment was never copied into the office file.

Write authority in concrete terms

Name who admits a member, calls a pastor, approves the annual budget, borrows money and signs a property agreement. State the notice and vote needed for each decision. Have the church’s attorney check the language against its state, corporate form and governing documents.

Keep doctrine and procedure consistent

An elder-led church and a congregational church can assign authority differently. Use the church’s own confession and polity when writing the process. Put operating details that change frequently in policies when the bylaws permit that approach, and state who can change those policies.

Adopt and retain the final version

Give members the proposed text with the required notice. Record amendments and the decision in the minutes, then publish the effective date on the approved copy. Keep the prior version and the record of adoption. Review the document with counsel after a major change in leadership structure or property ownership.

Professional review

Bylaws drafting checklist

Bylaws drafting checklist

Gather the articles of incorporation, current bylaws, confession, covenant, property documents and minutes of amendments.

Define membership, admission, resignation, discipline and the members' voting rights.

Name the church offices, qualifications, appointment and removal procedures, and each body's authority.

Specify meetings, notice, quorum, voting, conflicts of interest and record access.

Document financial authority, property decisions, amendments and dissolution. Have a qualified attorney check state law and consistency with incorporation documents.

Follow the existing amendment procedure and retain the notice, approved text and minutes.

Use the checklist with your team

Print a working copy for the people responsible for this decision. Record the date, the person responsible for each action and the documents they need to review. Keep the approved version with the church’s records.

Use the free volunteer schedule template to assign follow-up tasks and training dates. Keep private incident details and legal advice out of a public schedule.
